LLC Name
Your LLC name must be distinguishable from all existing entities registered with the Texas Secretary of State and must include a required designator.
Required Designators

Your LLC name must end with one of the following: Limited Liability Company, Limited Company, LLC, L.L.C., LC, or L.C. Words like "Corporation," "Inc.," or "Ltd." are not permitted for an LLC.

Registered Agent & Registered Office
Every Texas LLC must maintain a registered agent with a physical street address in Texas. The registered agent receives legal documents and official government mail on behalf of the LLC.
Important Requirements

The registered agent must have a physical street address in Texas — a P.O. Box is not acceptable. The agent must be available during normal business hours to receive service of process. Your registered agent's address becomes public record.

Management Structure
Texas LLCs can be managed by their members directly or by appointed managers. This choice affects how the LLC is governed and how decisions are made.
Member-Managed vs. Manager-Managed

Member-Managed: All owners (members) participate in running the business. Best for small LLCs where all owners are active in day-to-day operations.

Manager-Managed: The LLC is run by appointed managers who may or may not be members. Best when some members are passive investors or when a professional manager is desired.

Organizer Information
The organizer is the person who signs and submits the Certificate of Formation to the Texas Secretary of State. The organizer does not have to be a member of the LLC — it can be a filing agent such as HJB Forensics LLC.
Who Signs the Certificate of Formation?

The organizer signs Form 205 on your behalf. If you select HJB Forensics as the filer, we sign as the organizer and submit the document to the Secretary of State. You will receive the file-stamped Certificate of Formation directly from the state.
